IGNITE Platform Terms of Use

INTRODUCTION

The IGNITE Platform is owned and operated by the Ads Digital Pvt. Ltd. By using the IGNITE Platform, you agree to accept these platform Terms of Use (“Terms of Use”).

IGNITE has created the IGNITE Platform to allow Brands and Creators to interact, form relationships, buy and sell Paid Content, and create and distribute sponsored Posts through the Creator’s Channels (Facebook, Instagram, Twitter, YouTube, TikTok, and/or LinkedIn), with facilitation, support, control and direction provided by IGNITE and in accordance with these Terms of Use.

ACCEPTENCE OF TERMS

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the IGNITE website operated by Ads Digital Pvt. Ltd. ("us", "we", or "our").

Your access to and use of the service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the service.

TERMS FOR CREATORS

CREATOR ELIGIBILITY:

The Website can be used by any person able to enter into legally binding contracts under the law. Those who are "incompetent to contract" within the meaning of the law, including minors, un-discharged insolvents and persons of unsound mind are deemed ineligible to use the Website.

Any individual under the age of 18 shall not register on the Website and shall not transact in any form on or use the Website. Minors who wish to use the website may do so under the supervision and guidance of their legal guardian/s or parent/s.

You must not misrepresent the size of your audience or your numbers of followers or level of engagement. You must have obtained your followers organically and not through unethical or unsportsmanlike behaviour such as (but not limited to) purchasing or fabricating followers, likes or engagement

We reserve the right to terminate any membership and/or refuse to provide such person with access to the Website if it is brought to our notice or if it is discovered that such person fails to meet the criteria set by us.

REGISTRATION FOR CREATORS: In order to use the Website, as part of the registration process, you will be required to provide certain information and details, including email id and any other information deemed necessary by the IGNITE platform. You hereby acknowledge that you will be fully responsible for all activities that occur under your Account.

Introduction

While registering with the Website, you shall not:

a. Create an Account for anyone other than yourself, unless such person's prior permission has been obtained;

b. Use an Account with the intent to impersonate that person.

c. Use a name for the Account that is a name that is offensive, vulgar or obscene or otherwise unlawful.

d. Create more than one Account on the Website.

e. Disclose your account credentials to unauthorized parties.

f. Provide information that is incomplete, inaccurate, and not up-to-date. In case you wish to update or correct the information provided by you, you may do so by visiting the “Edit Profile” section on the Website, or if you wish to remove your profile from the Website, you may do so by writing to the IGNITE team at info@adsdigital.com.np.

g. Use another user’s account information for using the Website.

You hereby agree that if you provide any information that is untrue, inaccurate, not current or incomplete, (or becomes untrue, inaccurate, not current or incomplete) or if IGNITE has reasonable grounds to suspect that such information is untrue, inaccurate, not current, incomplete, or not in accordance with these Terms, IGNITE shall have the right to indefinitely suspend or terminate or block access of your membership on the Website and refuse to provide you with access to the Website.

TERMS FOR BRANDS:

REGISTRATION FOR BRANDS:

You are requested to register an account in the IGNITE website as a brand (“Brand Account”), log in as specified and accept these Terms of Use including providing your full name, email address, telephone number and selecting your preferred payment method (invoice or credit card) and providing payment details where requested.

You will not be charged to create a Brand Account.

If you are using the IGNITE Platform on behalf of a Brand, you represent and warrant that you are authorized to accept these Terms of Use on such entity’s behalf and bind the Brand to comply with these Terms of Use.

IGNITE may, at its sole discretion, implement a minimum spend for Brand Accounts. You will be notified in writing of any such minimum spend.

You must nominate a primary contact for your Brand Account. The first user to register a Brand Account will automatically be selected as the primary contact, but the primary contact's identity and details may be edited through the Website by any authorized person with access to the Brand Account.

IGNITE will use the details provided for the primary contact for all enquiries relating to the Brand Account.

GENERAL CONDUCT BY BRANDS

You must use the IGNITE Platform in a fair and reasonable way and for its intended purposes, and treat Creators in a fair and reasonable manner.

PAYMENT:

For Creators:

Your entitlement to be paid a Post Fee or Paid Content Fee is subject to your compliance, and continued compliance, with these Terms of Use. In the event of any disputes about your compliance and payment, IGNITE will work with you and the Brand to resolve the dispute and determine whether or not you are entitled to be paid, up to the amount of the applicable Post Fee or Paid Content Fee, in accordance with these Terms of Use.

For Brands:

You agree to pay IGNITE all fees and charges made to your Brand Account for use of the IGNITE Platform and all fees and charges payable in respect of the IGNITE Services required for Campaign delivery, inclusive of Post Fees and/or Paid Content Fees, in accordance with these Terms of Use.

If you subscribe to or order any IGNITE Services, you must pay all subscription fees and other applicable charges as set out in the applicable subscription agreement, invoice terms or other terms imposed by IGNITE from time to time.

You must pay all charges in respect of a Campaign in the manner set out or as otherwise advised by IGNITE in writing from time to time. If no manner for payment is stated and you are not approved to pay via Invoice.

USING THE IGNITE PLATFORM:

Subject to your compliance with these Terms of Use, you are granted a limited, non-exclusive, revocable and non-transferrable license to access and use the IGNITE Platform in the manner permitted in these Terms of Use.

You must use the IGNITE Platform in accordance with any applicable instructions set out within the website.

You must not:

(a) decompile, reverse engineer, disassemble, convert or authorize any third party to decompile, reverse engineer, disassemble or otherwise convert any element of the IGNITE Platform to a human perceivable form;

(b) distribute or republish any element of the IGNITE Platform in any way;

(c) resell, rent, lease, license or lend any element of the IGNITE Platform;

(d) defeat, disable or circumvent any security feature of the IGNITE Platform;

(e) transfer any element of the IGNITE Platform to any third party;

(f) use any data mining, robots or similar data gather or extraction methods;

(g) register, subscribe or unsubscribe, or attempt to subscribe or unsubscribe, any party to any product or service if you are not expressly authorized by such party to do so; or

(h) Sell, license, lease or in any way seek to commercialize any component of the IGNITE Platform without specific written authorization from IGNITE.

IGNITE reserves the right to monitor the IGNITE Platform generally and all Account activity. If your Account shows signs of fraud, abuse or suspicious activity, IGNITE may close or freeze the Account immediately.

LINKS TO OTHER WEBSITES

Our Service may contain links to third-party web sites or services that are not owned or controlled by us.

Ads Digital Pvt. Ltd. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that Ads Digital Pvt. Ltd. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

CHANGES & REVISIONS

IGNITE may at any time revise these Terms of Use by updating this page. Revisions will take immediate effect and may affect your ability to use the IGNITE Platform. Since you are bound by these Terms of Use each time you use the IGNITE Platform, you should check these Terms of Use for any revisions each time you use the IGNITE Platform and wherever prompted to do so. Your use of the IGNITE Platform following the posting of any revisions to these Terms of Use constitutes your acceptance of those revisions.

IGNITE reserves the right to change the IGNITE Platform in any way by giving you notice to the email address you have registered with IGNITE to you. Even if you have an Account, your ability to access and use the IGNITE Platform may be terminated at any time without notice to you. If you do not agree to these Terms of Use, you must immediately exit the IGNITE Platform.
